JBT Corporation has agreed to purchase Prevenio, a US-based provider of food safety solutions primarily for the poultry industry, for $170 million.
Prevenio, formerly known as CMS Technology, offers pathogen protection through its anti-microbial delivery solution that enhances food safety and integrity for its clients in the protein and produce markets.
The food safety technology company is committed to providing breakthrough solutions to prevent foodborne illness from entering the supply chain.
The acquisition will see JBT enhance its recurring revenue portfolio and further its investment in solutions that support its customers’ daily operations.
In 2019, JBT acquired Prime Equipment Group – a US manufacturer of turnkey primary and water re-use solutions for the poultry industry – in an effort to become the referred provider of full-line solutions for poultry customers.
“JBT’s investment in Prevenio furthers our support in the protection of our customers’ brands and reputation by focusing on the prevention of foodborne illness,” said Brian Deck, JBT’s president and CEO.
“Prevenio’s solutions ensure anti-microbial dosing precision and effectiveness with automated process controls, allowing it to provide a tailored approach to protect food and flavour profile. Prevenio further broadens JBT’s non-equipment offering while helping customers protect against pathogen threats in their daily plant operations.”
Headquartered in Bridgewater, New Jersey, Prevenio also has a full-service laboratory in Bogart, Georgia that specialises in microbiology focused on both field and R&D testing.
Paul Sternlieb, JBT’s executive vice president and president, protein, added: “We are excited with the prospect of enhancing Prevenio’s already strong growth profile by leveraging JBT’s global customer base while also supporting the development of its solutions for non-poultry applications.”
The transaction is expected to be completed early in the third quarter. Prevenio expects run rate annual revenue at the end of 2021 of approximately $50 million.
